Action Taken at August 12, 2025 Meeting

Shall the commission:

82. Create phase 1 of the Blaine boatyard project? The 2025 budget will be adjusted; $50,000 will be moved from infrastructure-unallocated leaving $10,245 in that budget. The interim boatyard will be created while the port is waiting for state Model Toxics Control Act cleanup funds. (14869/Action Item 2) Approved 3-0

83. Establish the Warehouse #9 demolition project? The commission has expressed an interest in demolishing the warehouse. The 2025 budget will be adjusted; $437,434 will be moved from general site preparations leaving $12,533 in that budget. (14870/ Action Item #3) Approved 3-0

84. Renew the land lease with Innovative Property Design LLC? Since 2013, Innovative Property Design LLC has leased property at 213 Marine Drive, Blaine. The tenant owns the building that Kam-Way Transportation has been using as their corporation offices. The port will receive $137,339 over five-years ending on 6/30/2030. (14871/Action Item 4) Approved 3-0

85. Approve a land lease with Rivian LLC of Irvine, California, in the Waterfront District? The port and Rivian have come to the agreement that the Granary Avenue parking lot is the best location for Rivian’s charging stations. There will be eight level 3 charging stations with the option to increase to 12 stations on the gravel lot of approximately 5,000 square feet. After the initial six months, the port will receive $1,200 per year per charging station for five years. Rivian will be responsible for the installation of all necessary equipment. (14872/Action Item #5) Approved 3-0

86. Approve $50,000 in Small City Economic Development funds for the City of Lynden? The port started the small cities grant program in 2004. The City of Lynden will match the grant with $25,000 in local funds for the preliminary design of the southwest Lynden annexation sewer service. In 2024, the City of Lynden purchased 180 acres of industrial land and and 70 acres of land zoned residential. The grant money is to help design sewer service, provide a survey, sizing and other preliminary design work to attract industry to the area. (14875/ Consent Agenda C) Approved 3-0

87. Approve a lease with Sensibly Sprouted LLC for suite 107 in the Bellwether Building? The business specializes in nutrition. This lease for 2,350 square feet is an expansion; the business has leased space in the 12 Bayview Way building since 2021. The port will receive $158,055 for the three-year lease. (14877/Consent Agenda E) Approved 3-0

88. Authorize the interim executive director to sign a deed restriction on property located in Fairhaven? In 2024, the port completed the first phase of a stormwater and sea-level-rise improvement project in Fairhaven Marine Industrial Park. The project installed two new outfalls and dissipation pad in Padden Lagoon and native vegetation on the north and west shoreline of the lagoon. Required by the U.S. Army Corps of engineers permit, the deed restriction protects the mitigation area and plantings for 20 years. (14878/Consent Agenda F) Approved 3-0

89. Authorize the interim executive director to sign a three-year $198,000 contract with Voltaire Aviation of Fishers,Indiana, for air service development services? The goal of the contract is expanding air service at the Bellingham airport. Volaire will provide year-round support, including market studies, business case development, assistance with Small Community Air Service Development grant applications, and representation at key conferences and airline headquarters meetings. (14880/Action Item #1) Approved 3-0

Shall the commission:

90. Authorize the interim executive director to sign a standstill agreement with the United States Coast Guard for office/ warehouse space and moorage in Fairhaven? At the 7/19/2005 meeting, vote #79, the commission approved a lease for a stub pier to moor two 87-foot vessels, approximately 1,000 square feet of warehouse space and 1,400 square feet of office space. The one-year lease with 19 one-year renewal options expired on 7/31/2025. While a new contract is being negotiated, the coast guard has requested the standstill agreement that expires on 9/31/2026 or a new lease is signed. (14936/Consent Agenda C) Approved 3-0

91. Approve the fourth modification for a land lease with I&J Properties at 1325 Roeder Avenue for a base rent adjustment? At the 10/3/2017 meeting, vote #125, the commission approved land leases with I&J Properties for Lot A and with Hilton Roeder II for Lot B? The leases are 50-year terms with one 10-year renewal option. The lessor can move marine vessels, marine equipment and other large items to and from Squalicum Harbor boat launch. The lessor can construct, manage and sublease a building on each lot. The base rent for five years ending on 8/31/2029 will be $144,000. (14937/Consent Agenda B) Approved 3-0

92. Change a lease from Lineage BCS to Lineage Logistics MTC? At the 3/18/2025 meeting, vote #28, the commission authorized the executive director to sign documents for control of ownership of Bellingham Cold Storage. Linage BCS, a Delaware limited liability company, has purchased Bellingham Cold Storage. If a business currently has a lease with the port and a control of ownership changes by 30 percent or more, commission approval is required. Lineage BCS is the world’s largest temperature-controlled warehousing trust. Lineage Logistics MTC is a Maryland limited liability company. (14938/Consent Agenda D) Approved 3-0

93. Authorize the sale of storage contents for nonpayment of fees? Sealed bids closed on 9/30/2025. An auction was held at Squalicum Harbor for the contents: fiberglass dingy, Honda generator, miscellaneous tort. The unit has unpaid fees of $1,944. Port staff contacted the owner about the unpaid fees a total of nine times. (14944/Consent Agenda E) Approved 3-0

94. Authorize the sale of two vessels for the nonpayment of moorage fees? Sealed bids closed on 9/30/2025. An auction was held at Squalicum Harbor for a 26-foot sailboat and a 39-foot sailboat, both have unpaid fees of $3,000. Port staff contacted the owners about the unpaid fees a total of 19 times. (14945/14946/ Consent Agenda F/G) Approved 3-0
